Please Read Carefully:

These Terms of Use constitute a legally binding agreement between you and SellBusiness.ca. By accessing or using this platform in any way, you agree to be bound by these terms. If you do not agree, do not use this platform.

1. Acceptance of Terms

By accessing, browsing, submitting a listing on, or otherwise using the SellBusiness.ca website and platform (the "Platform"), you ("User," "you") acknowledge that you have read, understood, and agree to be bound by these Terms of Use ("Terms") and our Privacy Policy.

These Terms apply to all users including buyers, sellers, real estate registrants, brokerages, and visitors. Use of the Platform constitutes acceptance of the most current version of these Terms.

2. Definitions

"Platform" - The SellBusiness.ca website, mobile site, and all associated services
"Listing" - Any business or commercial property posted for sale, lease, or inquiry on the Platform
"Registrant" - A real estate salesperson, broker, or brokerage registered with RECO under TRESA
"Non-Registrant Seller" - A private individual or business owner posting a listing without acting as a registered real estate professional
"MLS® Data" - Listing information sourced from CREA DDF® and/or PropTx/TREB IDX feeds
"CREA" - The Canadian Real Estate Association
"RECO" - The Real Estate Council of Ontario
"TRESA" - Trust in Real Estate Services Act, 2002 (Ontario)

3. Platform Description

SellBusiness.ca is an online marketplace that enables the listing and discovery of businesses and commercial real estate for sale across Ontario and Canada. The Platform accepts listings from:

Registered real estate professionals (REALTORS®, brokerages) listing commercial/business properties
Private/non-registrant business owners listing their own businesses for sale
Buyers searching for businesses and commercial properties

SellBusiness.ca is not a real estate board. We do not guarantee any transaction, represent any party, or provide legal or financial advice. We are an information marketplace only unless separately engaged under a written service agreement.

4. User Eligibility

You must be at least 18 years of age to use this Platform. By using the Platform, you represent and warrant that:

You are of legal age and capacity to enter binding agreements
You have the legal right and authority to submit any listing or information you provide
All information you submit is accurate, complete, and not misleading
You are not subject to any legal restriction that would prohibit your use of the Platform

5. Listing Submissions - General Rules

5.1 Accuracy & Truthfulness

All listing content submitted by you must be truthful, accurate, and not misleading. You are solely responsible for the accuracy of your listing information. SellBusiness.ca does not independently verify listing content.

5.2 Consent to Publish

By submitting a listing, you grant SellBusiness.ca a non-exclusive, royalty-free, worldwide licence to display, distribute, and promote your listing content on the Platform and affiliated marketing channels for the duration of your listing term.

5.3 Listing Review

SellBusiness.ca reserves the right to review, edit, decline, or remove any listing that, in our sole judgment:

Contains false, misleading, or deceptive information
Violates applicable law, RECO regulations, CREA rules, or MLS® policies
Constitutes spam, duplicate listings, or market manipulation
Infringes on any intellectual property rights
Is inappropriate for the Platform's business-sale focus

5.4 Listing Fees

Listing fees, if applicable, are non-refundable once a listing has been published, unless the listing was declined or removed by SellBusiness.ca due to our error. Fee schedules are published on the Platform and may be updated with 30 days' notice.

6. Rules for Registered Real Estate Professionals

Real estate registrants (salespersons, brokers, brokerages) using the Platform agree to the following:

6.1 Registration Requirements

You must hold a current, active registration with RECO in good standing
You must provide your brokerage name and RECO registration number when submitting any listing
Suspension or revocation of your RECO registration automatically terminates your right to use the Platform

6.2 CREA Realtor Cooperation Policy - Scope

Note: CREA's Realtor Cooperation Policy (effective January 3, 2024) requires the submission of publicly marketed residential listings to MLS® within 3 business days. SellBusiness.ca is a business-for-sale and commercial real estate platform - this policy does not apply to the listing of businesses for sale or the majority of commercial listings submitted here. If you are listing a commercial property that has a residential component, you remain solely responsible for determining whether the Cooperation Policy applies to your listing.

6.3 PropTx / TREB MLS® Rules (Effective December 2, 2024)

Listing images submitted must accurately represent the property. Virtual staging and AI-generated alterations that misrepresent physical characteristics are prohibited on MLS® listings
Photos must not include identifiable people or personal promotional content
VOW/IDX user data must be managed in accordance with PropTx authentication and data protection requirements

6.4 TRESA Disclosure Obligations

Registrants must ensure compliance with all disclosure obligations under TRESA and RECO regulations, including but not limited to:

Self-represented party disclosure
Multiple representation disclosure
Designated representation disclosure
Material latent defect disclosure

SellBusiness.ca is not responsible for any failure by a registrant to comply with TRESA disclosure obligations.

6.5 Client Authorization

By submitting a listing on behalf of a client, you represent and warrant that you have obtained the client's express written authorization to list, market, and disclose their property information on this Platform and any syndicated platforms.

7. Rules for Non-Registrant (Private) Sellers

Important Notice for Private Sellers: SellBusiness.ca allows private business owners to list their business for sale. However, certain activities are restricted to licensed real estate registrants. Read this section carefully.

7.1 What You May List

Non-registrant sellers may list:

Their own operating business for sale (goodwill, assets, inventory)
Commercial real estate they own (subject to applicable restrictions)
Business assets and equipment associated with a business sale

7.2 What You May NOT Do Without a Registered Agent

Legal Restriction: Under TRESA, you may not act as a "trade in real estate" on behalf of another person without being a registered real estate registrant. Posting, marketing, or facilitating the sale of someone else's property without being licensed is illegal in Ontario. Non-registrant listings must be for property or businesses you personally own.

You may not list on MLS® directly - MLS® access requires a registered REALTOR® and brokerage
You may not collect a commission or referral fee for facilitating the sale of another party's real estate without a RECO license
Non-registrant listings will be clearly labeled as "Private Listing / Not Listed on MLS®"

7.3 Seller Representations

By submitting a listing as a non-registrant, you represent and warrant that:

You are the owner of the business and/or property being listed, or have legal authority to sell it
All financial information provided (revenue, profit, assets) is materially accurate
You will enter into a Non-Disclosure Agreement (NDA) process before disclosing confidential financial details to prospective buyers
You will not engage in any conduct that constitutes trading in real estate without a license

7.4 Confidentiality Protections

SellBusiness.ca will protect the identity of private sellers. Your full name and direct contact details will not be displayed publicly. Buyer inquiries will be pre-screened before contact details are shared, and an NDA process is strongly recommended for all serious inquiries.

8. MLS® Data - Terms of Use

Where SellBusiness.ca displays MLS®-sourced listing data from CREA's DDF® or PropTx/TREB IDX:

MLS® data is provided for personal, non-commercial use only
You may not reproduce, redistribute, scrape, or exploit MLS® data for commercial purposes
MLS® data is protected by copyright owned by CREA and/or the contributing real estate board
The use of MLS® and REALTOR® trademarks does not imply CREA endorsement of this Platform
Listing accuracy is not guaranteed - all information should be independently verified

Standard CREA/TRREB Disclaimer: The information contained on this website is based in whole or in part on information that is provided under copyright by the Toronto Regional Real Estate Board (TRREB) and members of The Canadian Real Estate Association (CREA), who are responsible for its accuracy. TRREB and CREA reproduce and distribute this information as a service for their members and assume no responsibility for its accuracy. All information displayed is believed to be accurate but is not guaranteed and should be independently verified. No warranties or representations of any kind are made with respect to the accuracy of such information. Not intended to solicit properties already listed for sale.

9. Prohibited Conduct

Users may not:

Submit false, fraudulent, or misleading listings or information
Impersonate any person or entity, including a registered REALTOR® or brokerage
Use the Platform to engage in any unlicensed trading in real estate contrary to TRESA
Scrape, harvest, or systematically extract data from the Platform
Reproduce, distribute, or commercially exploit MLS® data
Circumvent any security, authentication, or access control measures
Post listings that constitute spam, duplicate content, or market manipulation
Use vulgar, profane, obscene, or sexually explicit language in any listing, description, or communication - see Section 9a for full Content Standards
Post hate speech, discriminatory content, threats, or harassment of any kind - see Section 9a for full Content Standards
Post defamatory statements about any person, business, or competitor
Use the Platform for money laundering, terrorist financing, or any purpose contrary to Canada's PCMLTFA
Provide false, incomplete, or misleading identity information when requested for FINTRAC client identification purposes - this is a federal criminal offence
Violate any applicable federal or provincial law
Send unsolicited commercial electronic messages contrary to CASL
Use the Platform in a manner that violates AODA accessibility requirements or that discriminates against users with disabilities contrary to the Ontario Human Rights Code

Violation of these prohibitions may result in immediate content removal, account suspension, permanent ban, forfeiture of listing fees, and potential referral to RECO, CREA, FINTRAC, or law enforcement as appropriate. See Section 9a for the full Content Standards & Language Policy.

9A. Content Standards & Language Policy

SellBusiness.ca is a professional commercial marketplace. All content submitted by users - including listing titles, descriptions, business summaries, financial notes, photos, messages, and any other user-generated text - must meet the following standards at all times.

9a.1 Prohibited Language & Content

The following types of language and content are strictly prohibited on the Platform and will result in immediate removal and potential account suspension or permanent ban:

Vulgar or Profane Language: Use of obscene, profane, offensive, or sexually explicit language of any kind in any listing, message, description, or communication on the Platform is prohibited
Hate Speech & Discrimination: Content that demeans, insults, or discriminates against any person or group based on race, national or ethnic origin, colour, religion, age, sex, sexual orientation, gender identity or expression, marital status, family status, or disability is prohibited - and may constitute an offence under the Canadian Human Rights Act and Ontario's Human Rights Code
Harassment & Threats: Threatening, intimidating, harassing, or abusive language directed at any person - including other users, staff, buyers, sellers, or agents - is prohibited
Derogatory or Insulting Language: Language intended to demean, mock, belittle, or insult any individual, business, community, or group is prohibited
Defamatory Statements: Publishing false statements of fact that damage the reputation of a person or business may constitute defamation under Canadian law. Users are solely liable for any defamatory content they submit
Misleading or Deceptive Claims: Exaggerated, false, or misleading statements about a business's revenue, profitability, assets, customer base, or other material facts are prohibited and may constitute misrepresentation under contract law and the Ontario Consumer Protection Act, 2002
Spam & Irrelevant Content: Repetitive, keyword-stuffed, or off-topic content that does not legitimately describe the business being listed is prohibited
Personal Attack on Competitors: Naming, disparaging, or making negative claims about competing businesses or platforms is prohibited

9a.2 Professional Communication Standard

All communications between users conducted through the Platform - including inquiry messages, replies, and negotiation communications - must be conducted in a professional, respectful, and business-appropriate manner. SellBusiness.ca reserves the right to monitor, review, and remove any communication that violates this standard.

Zero Tolerance Policy: SellBusiness.ca operates a zero-tolerance policy for vulgar language, hate speech, harassment, and threats. Any single instance of such content may result in immediate permanent removal from the Platform without warning, without refund of any listing fees, and without right of appeal.

9a.3 Reporting Offensive Content

If you encounter a listing or communication that contains offensive, vulgar, harassing, or otherwise policy-violating content, please report it immediately to report@sellbusiness.ca. We will review all reports within 2 business days and take appropriate action.

9a.4 Platform's Right to Edit or Remove

SellBusiness.ca reserves the right - but not the obligation - to:

Review any user-submitted content prior to or after publication
Edit or remove content that violates these Content Standards without prior notice
Suspend or permanently ban any user account associated with policy-violating content
Retain records of removed content for legal and compliance purposes
Refer serious cases (e.g., criminal threats, hate speech) to law enforcement or the appropriate regulatory authority

Removal of content by SellBusiness.ca does not constitute an admission of liability, nor does it create any obligation to monitor all user-submitted content on an ongoing basis.

9a.5 Legal Framework

Content submitted to this Platform is subject to the following Canadian laws, among others:

Canadian Human Rights Act (R.S.C., 1985, c. H-6) - prohibits content promoting hatred against identifiable groups
Ontario Human Rights Code (R.S.O. 1990, c. H.19) - prohibits discrimination in services based on protected grounds
Criminal Code of Canada - sections prohibiting criminal harassment (s. 264), uttering threats (s. 264.1), and public incitement of hatred (s. 319)
Ontario Consumer Protection Act, 2002 - prohibits false, misleading, or deceptive representations in a consumer agreement
Canada's Anti-Spam Legislation (CASL) - prohibits unsolicited commercial electronic messages

Users are solely responsible for ensuring their submitted content complies with all applicable laws. SellBusiness.ca accepts no liability for user-generated content but will cooperate fully with law enforcement investigations.

9B. FINTRAC & Anti-Money Laundering Obligations

Aakash Jangra, as a registered real estate salesperson, is a reporting entity under Canada's Proceeds of Crime (Money Laundering) and Terrorist Financing Act (PCMLTFA). These obligations apply to any real estate transactions arising from introductions or facilitations through this Platform.

Identity Verification: All parties to a real estate transaction (buyers, sellers, and unrepresented parties) must have their identity verified before transaction completion. As of October 1, 2025, this obligation extends to unrepresented parties
Large Cash Reporting: Receipt of $10,000+ in cash within 24 hours in connection with a transaction must be reported to FINTRAC
Suspicious Transaction Reporting: Transactions giving rise to reasonable suspicion of money laundering or terrorist financing must be reported regardless of amount
Record Retention: Identity and transaction records are retained for a minimum of 5 years under the PCMLTFA

User Obligation: By using this Platform in connection with any real estate transaction, you consent to providing truthful and complete identity information as required. Providing false identity information is a federal criminal offence under the PCMLTFA.

9C. Accessibility - AODA Compliance

SellBusiness.ca is committed to making this Platform accessible to all users, including persons with disabilities, in compliance with the Accessibility for Ontarians with Disabilities Act, 2005 (AODA) and its Integrated Accessibility Standards Regulation.

We aim to meet WCAG 2.0 Level AA standards for all public-facing web content
If you encounter an accessibility barrier, please contact accessibility@sellbusiness.ca and we will work to resolve it promptly
Alternative formats of this document and other Platform content are available upon request

10. Intellectual Property

All original content on SellBusiness.ca - including the Platform's design, logo, text, graphics, and software - is owned by SellBusiness.ca and protected by Canadian copyright law.

MLS® Data is owned by CREA and/or contributing real estate boards. The marks MLS®, Multiple Listing Service®, and the associated logos are owned by CREA and used under license.

You retain ownership of original content you submit (e.g., your listing descriptions and photos), but grant us the licence described in Section 5.2. You represent that you own or have the right to submit all content you post, including images.

11. Disclaimers

No Professional Advice: Nothing on this Platform constitutes legal, financial, accounting, or real estate advice. All users are strongly encouraged to retain qualified professionals (lawyers, accountants, registered REALTORS®) before completing any transaction.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. SELLBUSINESS.CA DOES NOT WARRANT THAT:

Any listing is accurate, complete, current, or suitable for your purposes
The Platform will be uninterrupted, error-free, or free of viruses
Any business or property listed will sell or achieve the asking price
MLS® data is current - there may be delays between board updates and display

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY ONTARIO LAW, SELLBUSINESS.CA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

Any indirect, incidental, special, consequential, or punitive damages
Any loss of profits, revenue, data, or business opportunities
Any damages arising from reliance on listing information
Any damages arising from unauthorized access to your account or data

Our total aggregate liability to you shall not exceed the fees paid by you to SellBusiness.ca in the 12 months preceding the claim, or $500 CAD, whichever is lesser.

13. Indemnification

You agree to defend, indemnify, and hold harmless SellBusiness.ca and its operators, partners, and affiliates from any claims, damages, losses, liabilities, or expenses (including legal fees) arising from:

Your use of the Platform in violation of these Terms
Your listing submissions, including any inaccuracies or misrepresentations
Your violation of any applicable law including TRESA, PIPEDA, or CREA rules
Any dispute between you and another user

14. Termination

SellBusiness.ca may suspend or terminate your access to the Platform at any time, with or without notice, for any breach of these Terms or applicable law. Upon termination:

Your listings will be removed from public display within 5 business days
Your listing data will be retained for the regulatory periods specified in our Privacy Policy
No refund of listing fees will be issued where termination is due to your breach

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict of law principles. You consent to the exclusive jurisdiction of the courts of Ontario for resolution of any dispute.

16. Dispute Resolution

We encourage users to contact us first to resolve any disputes informally. If a dispute cannot be resolved informally within 30 days, either party may seek resolution through:

Mediation through a mutually agreed-upon mediator in Ontario
Small claims court (for claims within the applicable monetary limit)
The courts of Ontario for all other disputes

17. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via a notice on the Platform and, where appropriate, by email to registered users. Continued use of the Platform after the effective date of any modification constitutes acceptance of the revised Terms.
